Anjuli Sivaramakrishnan is a Partner in charge of the transactional and private equity practice of the Firm. Her practice areas include banking, finance, private equity transactions and securities laws including structured finance, cross-border financing, foreign investments by way of equity instruments, project finance, asset backed securitization, regulatory approvals and debt restructuring.
She has vast experience and expertise in negotiating and drafting of project finance documents, structured banking transactions including external commercial borrowings, derivatives, trade credits, syndicated loans, corporate and retail banking documentation. She had advised banks, non baking finance companies and housing finance companies on all aspects of structuring and documentation of funded and non funded facilities including creation and enforcement of security interest such as mortgage, pledge, hypothecation and assignment. She has advised clients on issues arising banking law, foreign direct investment policy, foreign exchange laws and securities law.
She has advised private equity funds on all aspects of an investment and has represented them in structuring of the investment instruments including but not limited advise on investor rights, exit options, windfall mechanism and regulatory issues in the real estate and infrastructure sector in terms of the Foreign Direct Investment Policy of India and the Reserve Bank of India Guidelines.
She has been involved in conducting corporate and legal due diligence of companies and has hands on experience in structuring and implementing various kinds of real estate transactions.
